1) Scope These Terms and Conditions ("Terms") of Cova International LLC("Seller") apply to all sales of goods to consumers and businesses ("Customer") via the Seller's online store. Any terms of the Customer that deviate from these Terms shall not apply unless explicitly agreed otherwise.

2) Contract Formation 2.1 Product listings in the Seller's online store are non-binding and serve as an invitation to place an order.

2.2 The Customer may submit an offer via the integrated online order form. After placing items in the shopping cart and completing the checkout process, the Customer submits a legally binding offer to purchase by clicking the final confirmation button.

2.3 The Seller may accept the offer within five days:

  • by sending an order confirmation via email, or

  • by delivering the goods to the Customer, or

  • by requesting payment from the Customer.

The contract is concluded when one of the above conditions is fulfilled. If the Seller does not accept the offer within the five-day period, the Customer is no longer bound by their offer.

2.4 When using PayPal or other third-party payment providers, the contract is deemed concluded when the Customer confirms payment at checkout.

2.5 The Seller stores the contract terms and provides a copy via email. If a user account is created, order history may also be accessed through the account.

2.6 Before submitting the order, the Customer may review and correct input errors. Browser zoom functions may help in identifying such errors.

2.7 Contract language is English.

2.8 Order processing and communication occur via email. Customers must ensure valid email addresses and configure their spam filters accordingly.

3) Right of Cancellation Consumers are entitled to cancel their order within 30 days. More details are available in the "Return Policy."

4) Prices and Payment Terms 4.1 All listed prices are total prices and include applicable taxes. Shipping costs are listed separately.

4.2 Available payment methods are shown during checkout.

4.3 For payments via Shopify Payments (Stripe), transactions are processed through Stripe and may involve additional conditions.

5) Delivery and Shipping Terms 5.1 Orders are delivered to the address provided by the Customer. Delivery is limited to the listed service area.

5.2 If delivery fails due to reasons caused by the Customer (e.g., incorrect address or non-collection), the Customer shall bear the costs incurred.

5.3 For business Customers, the risk transfers upon handing over the goods to the carrier. For consumers, the risk transfers upon receipt unless the carrier was appointed independently by the Customer.

5.4 In the event of unavailability of items due to supplier failure, the Seller may withdraw from the contract and refund the Customer.

5.5 In-store pickups are not available.

6) Retention of Title Goods remain the property of the Seller until full payment has been received.

7) Warranty and Liability 7.1 The statutory warranty applies unless stated otherwise below.

7.2 For businesses:

  • The Seller may choose the method of remedy.

  • Warranty for new goods is limited to one year.

  • Warranty for used goods is excluded.

  • Replacement does not restart the limitation period.

7.3 Exclusions do not apply to:

  • Claims for damages and reimbursement,

  • Fraudulent concealment of defects,

  • Goods used for construction purposes that cause defects,

  • Obligations to provide digital updates for goods with digital components.

7.4 Commercial customers must inspect and notify defects according to UCC or local commercial codes.

8) Governing Law These Terms are governed by the laws of the State of Delaware, USA, unless mandatory consumer protections in the Customer's jurisdiction override this choice of law.
